Malta Company Registration for Non-Residents: Why a Registered Address Alone Is Not Enough

A Malta company with nothing more than a registered address may be cheaper to maintain. But it can also raise the most uncomfortable question from business partners, banks and government authorities: what real connection does the company have to Malta?

Still, when registering a company, many business owners ask us: “Can I simply pay for a registered address?”. It is a fair question. Legally, a Maltese company must have a registered office in Malta and appoint a company secretary and a director. However, neither the company secretary nor the director has to be based in Malta.

There is a difference between meeting the minimum legal requirements and building a structure that banks and compliance departments can understand.

If the company’s only visible connection to Malta is its registered address, while all officers, management and activities are located elsewhere, it may look like a letterbox structure. This does not make the company unlawful but can lead automatically to a ‘high-risk’ labelling, additional questions, enhanced due diligence, longer onboarding or even a refusal to open an account.

Company registration is only the first step

Registering a Malta company normally involves:

  • confirming the proposed business activity and ownership structure;
  • completing due diligence on the shareholders, directors and beneficial owners;
  • obtaining approval for the company name;
  • preparing the Memorandum and Articles of Association;
  • appointing the director and company secretary;
  • providing a registered office in Malta;
  • arranging the required share capital;
  • submitting the incorporation documents to the Malta Business Registry.

Once the company is registered, the work does not stop.

The company must maintain its corporate records, keep the Registry informed of relevant changes and complete its annual filings. Accounting, financial statements, tax returns and, where applicable, audit requirements must also be handled on time.

Company formation is a one-time process. Corporate administration is an ongoing responsibility.

Basic Package: our recommended minimum

Our Basic Package includes:

  • Gov and admin fees;
  • Shared registered office address in Malta;
  • Due diligence check;
  • Local company secretary.

This is the minimum setup we recommend by default.

A local company secretary is not required by law. A Malta company may appoint a secretary who is based abroad. However, having a local professional involved in the company’s administration provides a clear point of contact in Malta. It also helps ensure that corporate records, statutory filings and communications with the authorities are handled properly.

From a compliance perspective, this creates a more complete and credible profile than a company that has nothing in Malta apart from its registered address.

The Basic Package is generally suitable for straightforward holding companies that do not require a local director, Malta VAT registration, a dedicated office or an operational presence in Malta. It is a simple package, but it is not an address-only arrangement.

That difference matters.

Basic Plus: when a local director is required

The Basic Plus Package includes:

  • Gov and admin fees;
  • Shared registered office address in Malta;
  • Due diligence check;
  • Local director.

This option may be considered when local directorship support is required, while the company secretary is provided by the Client.

A local director should not be added simply to tick a compliance box. The director must understand the company and fulfil the legal responsibilities attached to the role.

Standard Package: local director and secretary under one roof

The Standard Package includes:

  • Gov and admin fees;
  • Shared registered office address in Malta;
  • Local director;
  • Local company secretary.

This is a more complete solution for international and trading companies that require ongoing local corporate support and strong economic substance for a Malta-registered company.

Having the registered address, local director and local secretary coordinated by the same professional team helps keep corporate records, filings and company decisions consistent. It also gives banks, auditors, accountants and authorities a clear local point of contact.

Premium Package: an exclusive office address

The Premium Package includes:

  • Gov and admin fees;
  • Exclusive registered office address in Malta;
  • Due diligence check;
  • Local director;
  • Local company secretary.

This option is suitable when a dedicated business address is important for the company’s commercial image, correspondence, banking profile or relationships with clients and business partners.

It provides a stronger local presentation than a shared registered address. If the company also requires a formal office lease, employees, payroll or a broader operational presence, these services can be also provided separately by 1st Step.

Why can an address-only company be treated as high-risk?

A shared registered address is not a problem by itself. Many legitimate international and holding companies use the address of their corporate service provider.

The concern appears when the address is all the company can show.

During onboarding, a bank or payment institution may ask: why was Malta selected, who manages the company, where are decisions taken, who maintains the corporate records, etc?

If there are no clear answers, no professional corporate support and no visible commercial logic, the company may be classified as higher-risk.

A local secretary and/or local director will not replace real business activity or economic substance. However, it does demonstrate that the company has professional administrative support in Malta and is not simply using an address without any local involvement.

Saving on administration at the beginning can therefore create higher costs later through repeated compliance requests, delays and rejected applications.

What is not included in an annual corporate package?

The annual package provides the foundation for corporate administration. Depending on the company’s activities, additional services may be required, including:

  • accounting and financial statements;
  • audit;
  • VAT registration and reporting;
  • corporate tax compliance;
  • tax refund applications;
  • bank or EMI account opening support;
  • payroll and employee administration;
  • office rental under a lease agreement.

Not every company needs every service. The setup should reflect what the company will actually do.

Choose the package before registering the company

The smallest package is not always the cheapest solution in the long run. At the same time, there is no reason to pay for a local director or exclusive office if the company does not genuinely need them.

Our default recommendation is the Basic Package, including a Malta registered address and local company secretary.

Once again, the local secretary is not a legal requirement. It is a practical compliance recommendation and, in our view, the bare minimum for creating a properly supported Malta company rather than an address-only structure.
